Terms of Service

1. Agreement, eligibility, and accounts

These Terms of Service ("Terms") are a legal agreement between you and Christopher Zou and Vanessa Tao ("Fountainhead," "we," "us") covering your use of the Fountainhead website at https://fountainhead.site and the Fountainhead screenwriting application (the "Service"). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

Eligibility. You must be at least 13 years old to use Fountainhead. If you are under 18 (or the age of legal majority where you live), you may use the Service only with the permission of a parent or legal guardian, who agrees to these Terms on your behalf. If you use the Service for a company, school, or production, you confirm you have authority to bind that organization.

Your account. Give us accurate information, keep your login credentials secure, and tell us promptly at chris@fountainhead.site if you suspect unauthorized access. You are responsible for activity under your account, except activity caused by our own failure to secure the Service.

2. Your Content belongs to you

"Your Content" means anything you write, upload, or store in the Service, including scripts, outlines, treatments, notes, characters, pitch materials, and production documents.

You keep all rights. You retain all ownership, copyright, and other intellectual property rights in Your Content. Fountainhead does not acquire any ownership of your stories, characters, ideas, or productions, and nothing in these Terms transfers them to us.

The narrow license you give us. So the Service can work, you grant Fountainhead a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, format, back up, transmit, and display Your Content, solely for the purpose of providing the Service to you and to the people you choose to share it with. This license:

• does not allow us to publish, sell, license, or distribute Your Content to anyone else;
• does not allow us to use Your Content to train, fine-tune, or improve any artificial intelligence or machine learning model;
• does not allow us to use Your Content in advertising or marketing without your separate written permission; and
• ends when you delete Your Content or your account, except for residual copies in backups, which are removed on the schedule in our Privacy Policy.

We do not read Your Content. Fountainhead personnel do not access Your Content except (a) when you give us explicit permission, such as for a support request; (b) when necessary to investigate a security incident, data-corrupting bug, or abuse of the Service; or (c) when required by law. We never sell Your Content.

No idea submissions. Fountainhead is a writing tool, not a studio or production company. We do not solicit, evaluate, or develop scripts or story ideas. Storing Your Content in the Service is not a submission to us, and it creates no confidential or implied-contract relationship for purposes of story development.

Your responsibility. You confirm you have the rights needed to store and share Your Content, and that it does not infringe anyone else's rights. You are responsible for keeping your own copies of important work; we recommend regular exports.

3. Acceptable use and copyright complaints

Don't misuse the Service. You agree not to:

• use the Service to break the law or infringe anyone's intellectual property, privacy, or other rights;
• upload malware, or try to access other users' accounts or content without permission;
• probe, scan, or test the Service's security, or interfere with its operation, except through a responsible disclosure to chris@fountainhead.site;
• scrape, copy, or resell the Service, or use automated means to access it except through features we provide;
• reverse engineer the Service, except where the law allows despite this restriction; or
• use shared projects or collaboration features to harass, threaten, or spam others.

Fountainhead's software, design, logos, and trademarks belong to us and our licensors. These Terms give you a personal, non-transferable right to use the Service; they do not give you any other rights in it.

Copyright complaints (DMCA). If you believe content made available through the Service infringes your copyright, send a notice to our designated agent at Christopher Zou, 59 Keene St, Providence, RI 02906, chris@fountainhead.site that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and where it is located; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the owner. We may remove material in response to valid notices, notify the affected user, and accept counter-notices as provided in 17 U.S.C. § 512. We terminate the accounts of repeat infringers in appropriate circumstances.

4. The Service, third-party services, fees, and termination

Changes to the Service. We are a small, growing team and will keep improving Fountainhead. We may add, change, or remove features. If we plan to shut down the Service or remove a core feature, we will give you at least 30 days' notice so you can export Your Content.

Third-party services. Some features connect to services we don't control, such as Sign in with Google or Google Forms. Your use of those services is governed by their own terms and privacy policies. Our handling of data we receive from Google is described in Section 4 of our Privacy Policy.

Fees. The Service is currently free. If we introduce paid features, we will tell you the price and terms before you are charged, and free features you already use will not become paid without at least 7 days' notice.

Ending your use. You can stop using Fountainhead and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. Except in cases of serious abuse, illegal activity, or legal requirement, we will give you notice and a reasonable opportunity to export Your Content first.

Sections 2 (limited to your ownership and our commitments about Your Content), 5, 6, and any payment obligations survive termination.

5. Disclaimers, limitation of liability, and indemnity

Disclaimer. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FOUNTAINHEAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT YOUR CONTENT WILL NEVER BE LOST. KEEP YOUR OWN BACKUPS. This disclaimer does not limit our commitments about Your Content in Section 2 or in our Privacy Policy.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, FOUNTAINHEAD AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100.

These limits do not apply to liability that cannot be limited by law, such as liability for fraud, gross negligence, or willful misconduct. Some jurisdictions do not allow certain exclusions, so some of these limits may not apply to you.

Indemnity. If you use the Service to violate the law or someone else's rights, and a third party brings a claim against Fountainhead because of it, you agree to cover our reasonable losses and legal costs from that claim, to the extent permitted by law. This does not apply to claims caused by our own conduct.

6. Governing law, disputes, changes, and general terms

Governing law. These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Providence County, Rhode Island, and both parties consent to their jurisdiction. Either party may bring a qualifying claim in small claims court. If you live in a country whose consumer protection laws give you the right to sue in your home courts, these Terms do not take that right away.

Talk to us first. Before filing a claim, please email chris@fountainhead.site and give us 30 days to try to resolve it informally.

Changes to these Terms. If we make material changes, we will notify you by email or in the app at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms. We will never change these Terms to claim ownership of Your Content or to weaken our commitments about it for content you uploaded earlier without your consent.

General. These Terms and our Privacy Policy are the entire agreement between you and Fountainhead about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets, subject to the commitments in our Privacy Policy.
